Terms of Service
These are the terms for using Freight Friend, operated by [legal entity name], [state], [address] ("Freight Friend", "we"). By creating an account you agree to them on behalf of your company. Last updated [date].
Who can use Freight Friend
Freight Friend is for motor carriers and the people who work for them: owners, dispatchers, office staff and drivers. You must be at least 18 and authorised to act for the carrier you sign up. It is not for brokers, factors or the general public, and it is not for anyone under 18.
Accounts and roles
- The first person to create a company becomes its admin. Admins add and remove people, set roles (admin, dispatcher, driver), connect an ELD, and can export or delete the company's data.
- Everyone else gets what their role needs and no more. Drivers see their own loads and pay; dispatchers see the company's loads; admins see everything.
- Keep your sign-in to yourself. Your company is responsible for what people do under its accounts, and for removing people who leave.
- Drivers: your company added you. It decides what you see, and it can remove you.
Acceptable use
- Use Freight Friend for your own company's loads, documents and people. Don't upload another carrier's data without the right to do so.
- Don't try to read another company's data, probe or attack the service, or scrape it. Don't resell it or run it on someone else's behalf without our written agreement.
- Don't upload anything illegal, or anything you don't have the right to share (a driver's CDL, for example, needs the driver to know you use Freight Friend).
- We may suspend an account that breaks these rules. We'll tell you why unless the law stops us.
Price and billing — the founding offer
The current offer, in the same words as the founding carrier agreement:
- $99/mo flat, up to 10 trucks, unlimited office users and drivers. Shown against our list price of $145/mo.
- Nothing is due at signing. You pay nothing until your factor accepts your first Freight Friend packet. "Accepted" means your factor took the packet (rate con, signed BOL, invoice) without kicking it back, confirmed between you and the founder by phone or email. Once that happens, billing starts and runs monthly from that date. If you run only Relay loads, the trigger is instead the founder reconciling your first weekly Relay payment statement.
- Founding price lock. Once billing starts, you keep $99/mo for 12 months from your first charge, even if our list price goes up. We apply it as a $46/mo discount on the $145/mo list price, so your receipts show both. When the 12 months end the list price applies, unless we tell you otherwise.
- Over 10 trucks is priced on request; ask for a written quote.
- No contract. Month to month once billing starts, and you can cancel any time before your next billing date.
How you pay. A company admin can save a card at any time on Settings → Billing. You type the card into a payment page hosted by Stripe, our payment processor; Freight Friend's servers never receive your card number. We keep only the card's brand and last four digits, and the customer and subscription identifiers Stripe gives us. Saving a card charges nothing. The first charge happens only after the founder confirms your first accepted packet (or, Relay-only, your first reconciled statement) as described above, and then monthly from that date.
Cancelling. Cancel in Settings → Billing → Manage billing (Stripe's billing page), or by email. Cancellation takes effect at the end of the billing month you are in: you keep full access until then and are not charged again. We only ever charge for the month you are in, never ahead of it, so there is no partial-month refund.
If a payment fails. Stripe retries the card automatically and emails you. The office app shows a warning while it does. If the payment still isn't recovered, the office app becomes read-only until the card is fixed. Drivers keep their access and none of your data is deleted. Full access comes back as soon as a payment goes through.
If a founding carrier agreement signed with your company says something different, that agreement wins. [Have your lawyer review this clause.]
What we don't promise
- We are not a factoring company, a bank, a broker, an accountant or a lawyer, and, apart from the guided authority setup below, not a compliance service. Freight Friend prepares the packet; your factor decides whether to fund it. IFTA, compliance and pay figures are tools to help you, not professional advice. You stay responsible for your filings, your drivers' pay and your DOT compliance.
- The AI can misread a document. Rate confirmations are read by an AI model to pre-fill a load. Check every load, invoice, packet and settlement before you send it or pay from it. The AI never sends anything or changes your data without a person tapping Confirm, and every action is logged.
- Email delivery is not in our hands. A packet sent to your factor is handed to their mail server. Whether it lands, is read or is accepted depends on them.
- Freight Friend is new software. We work to keep it up and correct, but we don't promise it will be available or error-free at every moment. [Add a service-level commitment here if one is offered.]
Authority setup service
If you use Freight Friend's authority setup, a Freight Friend specialist guides you through getting your own operating authority. You stay in charge:
- You file it yourself. You verify your identity and submit your application in FMCSA's own system. You keep every login; Freight Friend never holds your FMCSA login.
- We are not affiliated with the FMCSA or the U.S. Department of Transportation, and we do not give legal advice. Your specialist shares general information and checks your paperwork. Whether you qualify, and what you must file, is decided by FMCSA and your state, not by us.
- The fee is shown line by line before you pay: Freight Friend's setup service fee, and the FMCSA application fee, which we collect with it and pay to FMCSA for your application. Insurance, process agents and other providers you pay directly. Refund terms are stated before you pay.
- Your records are yours. Every document, note, message, payment and date in your case can be downloaded in one file at any time, and your specialist's notes on your case are visible to you.
Your data
- You own your data: your loads, rate cons, BOLs, invoices, settlements, and driver and equipment records. You give us a licence to store and process it only to run Freight Friend for you and to fix and improve the product.
- We may use anonymised aggregates — figures that cannot identify your company, your people or your customers — to understand how the product is used and to publish industry numbers. We never publish anything that could be traced back to you.
- Freight Friend runs on Supabase (database, sign-in and file storage), Vercel (hosting), Anthropic (the AI model that reads documents), Resend (email) and Stripe (card payments). Each processes your data only to provide its service. How we collect, store and share data is in the Privacy Policy.
Ending the agreement
- You can cancel at any time by email, or in Settings → Billing → Manage billing. Export your data first (Admin → Export, or ask us). We delete it within [30] days of the request, except records we must keep by law.
- We can end the agreement with [30] days' notice, or at once if you break the acceptable-use rules or don't pay. You get the same export and deletion either way.
- If billing has started you are billed through the current month and nothing further.
Liability
To the extent the law allows, our total liability under these terms is limited to [the fees you paid us in the 3 months before the claim]. Neither side is liable to the other for lost profits or indirect damages. Nothing here limits liability that cannot be limited by law. [Have your lawyer review this clause.]
Changes to these terms
We may change these terms. We'll tell account admins by email at least [14] days before a change that affects you takes effect, and update the date at the top. Using Freight Friend after that date means you accept the change; if you don't, cancel before it.
Everything else
- These terms and the Privacy Policy are the whole agreement between us, unless your company has signed a founding carrier agreement, which then adds to them.
- If one part turns out to be unenforceable, the rest still stands.
